ROC ANNUAL FILING · MCA V3 GUIDE
This guide focuses on the MCA e-filing workflow for company annual returns and financial statements. It is distinct from ongoing governance advisory, entity-specific LLP and OPC procedures, and event-triggered MCA filing services.
Annual ROC filing for companies generally involves two related but legally distinct streams: filing financial statements and other documents, and submitting the annual return that records company particulars. Both are subject to company-specific provisions and prescribed forms.
The financial filing commonly uses AOC-4 or a relevant variant; the annual return commonly uses MGT-7 or MGT-7A as prescribed. Identify the legal category, applicable financial year, and approval events before deciding which exact form is appropriate.

Companies Act, 2013
Practical note: A completed AOC-4 does not imply that MGT-7 or MGT-7A has also been filed.
Form applicability differs for a standard private company, small company, OPC, certain classes of public companies and entities subject to special accounting rules. The correct combination may also depend on consolidation, XBRL applicability or Ind AS.
Read the incorporation documents, MCA master data, shareholder structure, company classification and current instructions together. Avoid assuming a company with a low turnover must use simplified forms or that every entity must file the full same set.

Practical note: Small-company eligibility and exclusions should be reviewed for the relevant reporting year.
AOC-4 is used to file financial statements and related prescribed documents with the Registrar under section 137 of the Companies Act, 2013. The filing should be built from properly approved financial statements rather than a provisional draft.
Collect the balance sheet, statement of profit and loss, auditor report, Board report, schedules and other applicable attachments. Confirm the company’s approval history and ensure the data entered in the webform matches the underlying adopted financial statements.

Board and audit reports
Practical note: Correct figures in the financials before e-filing rather than trying to hide differences in webform fields.
The annual return is governed by section 92 and the associated rules. MGT-7 generally applies to companies outside prescribed simplified categories; MGT-7A is designated for OPCs and small companies under the rules.
The return may cover registered-office and company particulars, share capital, securities, directors, members and other required disclosures. Reconcile the data against the statutory registers and MCA event filings for the period under review.

Registers and changes
Practical note: The annual return is different from the income-tax return of the company.
For companies to which the normal AGM rules apply, statutory dates for holding the AGM and filing annual documents are linked to the relevant Companies Act provisions. OPCs have special treatment, including an AGM exemption and a different financial-statement filing basis.
Check the financial year, the actual AGM date where applicable, any valid extension and the current government notifications. Never enter an invented AGM date simply to fit an online form field or calendar calculation.

Section 137
OPC exemption
Practical note: Statutory deadlines should be calculated from the correct legal event and company category.
A form-ready accounts package should include audited financial statements where required, accompanying explanatory notes and the documents prescribed for the company class. Consistency across individual schedules and company declarations is essential.
Check audit qualifications, balance-sheet classifications, related-party disclosures, director report particulars and, where relevant, consolidated financial statement obligations. Form attachments must correspond to the financial year and entity named in the filing.

Cross-document consistency
Practical note: Portal acceptance does not establish that every financial or audit statement was substantively correct.
Compare registered capital, paid-up capital, classes of shares and the shareholder register with changes documented during the year. Review director and KMP data along with relevant corporate action filings to detect inconsistencies before preparing MGT returns.
Source evidence may include share certificates, allotment or transfer records, statutory registers, meeting approvals and already approved MCA e-forms. Differences should be resolved from underlying legal documents, not adjusted solely to pass form validation.

Practical note: An annual return should report verified legal facts, not repair a missing underlying corporate act.
Some companies must use AOC-4 XBRL or another prescribed reporting route instead of the basic form, depending on legal criteria, accounting framework and applicable exclusions. Consolidated financial statements may require additional or different submissions.
Determine applicability from current MCA instructions, not from last year’s file name alone. Verify the software validation, taxonomy, audit statements and required attachments before selecting any XBRL, NBFC or consolidated filing variant.

Practical note: XBRL is not mandatory for every private limited company.
The ROC filing should rest on decisions and approvals that comply with company law. Verify the Board approval of accounts and associated reports, proper signatories, and adopted statements as required for the company type.
Check that the version submitted is the same as the version placed before members or otherwise lawfully adopted. Differences in dates, signatures, net profit, borrowings or equity values may require a documented resolution before filing.

Practical note: An e-signature on the form does not retroactively supply an absent statutory approval.
MCA webforms operate through registered user accounts and role-linked business-user permissions. Before annual filing, check the authorised signatories, DSC association, company connection and any professional certification requirements.
Use authorised access to prepare and inspect the online form, follow its validation instructions and review the output with responsible personnel. Keep security practices separate from the document exchange used for enquiries.

MCA modernised company annual-filing forms in V3 during 2025, and guidance or validations can change by reporting year. Use the active instruction kit, notification and current reporting schema when planning the filing.
An additional-fee relaxation does not necessarily extend the statutory AGM deadline or change approval requirements. Distinguish legal filing obligations from temporary MCA portal facilitation measures.

Practical note: The filing year and official notification should be recorded in any written compliance recommendation.
Prepare a central filing folder with the correct final PDFs or supported attachment types, statutory reports, company identification and a manifest of documents uploaded. Check whether the live webform requests additional context-specific information.
Before final submission, inspect the portal-generated output for missing fields, duplicate attachments, incorrect financial values and signature issues. Avoid attaching confidential unrelated documents merely to fill an optional field.

Practical note: The attachment list should follow the selected form and entity class, not a generic one-size-fits-all checklist.
Track each annual form separately from draft to submission and acknowledgment. Preserve the service request number (SRN), final filed output and subsequent MCA status so management can distinguish an initiated form from one properly completed.
Where a form receives a resubmission request, review the official observations, correct source records where necessary and maintain a version log. Avoid representing a pending submission as a completed annual filing.

Practical note: A saved webform draft, payment confirmation and approved filing are different statuses.
Missing ROC annual filings may create statutory consequences and ongoing noncompliance risk. Prepare a financial-year-wise matrix identifying missing AOC-4 variants, annual returns, related approval events and any mismatched earlier data.
Evaluate corrective pathways from the live MCA portal and the relevant statutory provisions, including any professional guidance needed for material reporting errors. Do not assume refiling or uploading a fresh PDF automatically cures a defective original return.

Practical note: Avoid promising a uniform approval or correction route for all delayed corporate filings.
Finish with a reconciled pack containing signed financial statements, audit and Board reports, AGM or member decision records where applicable, register extracts, submitted forms, SRNs and copies of any queries.
The pack should clearly distinguish company-wide governance review from the actual ROC e-forms filed in the period. A structured handover enables the company or auditor to reproduce figures and verify the completion status later.

Practical note: A meaningful annual filing completion report identifies the form numbers, reporting year and accepted submission evidence.
It generally includes filing company financial statements and the statutory annual return with the Registrar, using the forms applicable to the company category.
No. AOC-4 is for financial statements and related documents; MGT-7 or MGT-7A is for the annual return.
Under the prescribed company rules, MGT-7A applies to One Person Companies and small companies. Eligibility must be verified.
No. XBRL and specialised financial-statement forms apply only when specified eligibility conditions are met.
No. ROC annual returns and financial-statement filings are company-law disclosures, while income-tax returns arise under tax law.
No turnover does not automatically waive annual company reporting. Verify the entity’s status and any statutory exemption.
OPCs have special statutory treatment and AGM exemptions. Apply the applicable form and company-category rules.
Typically shareholding, capital, directors and prescribed corporate particulars supported by statutory registers and applicable MCA change filings.
Read the official observation, correct applicable errors and maintain records of revisions and current submission status.
An SRN identifies a submission or request. Check the actual MCA status and keep the relevant acknowledged documents.
Where audited or adopted financial statements are required, use the legally appropriate final versions, not unsupported draft figures.
We can review form applicability, coordinate company document collection, reconcile annual return data and assist filing readiness with authorised signatories.
For ROC e-filing, check the active AOC-4 / MGT-7 / MGT-7A instructions, current MCA V3 version and legal provisions governing annual approvals. Form route depends on company category and reporting year.
This is an educational overview of ROC annual filings. Company category, rules, portal versions, exemptions and live MCA notifications determine the legally required forms and procedures.
