DIRECTOR APPOINTMENT & RESIGNATION GUIDE

Director Appointment & Resignation: DIR-12 & Statutory Records

This guide covers company-side director changes under the Companies Act, 2013. DIN KYC is a separate approved service, while DIR-12 covers the company’s reporting of changes in Board particulars.

SECTION 01

Director Appointment & Resignation: Scope

Director-change compliance includes the corporate act that creates or ends the position, supporting records and notification to the Registrar. The exact route depends on whether there is an appointment, resignation, removal, vacation of office or change in designation.

Form DIR-12 is a key event-based filing for company particulars of directors and certain key managerial personnel. It is not a substitute for valid appointment authority or a properly recorded resignation.

SECTION 02

Director Eligibility and Minimum Board Strength

Before appointing a director, review age, director disqualification rules, DIN and the company’s Articles of Association. Check the minimum director requirement based on company type: generally two directors for a private company and one for an OPC, with other categories governed by their own rules.

A proposed appointment should be evaluated alongside Board composition, resident-director obligations and any independent-director requirements applicable to that company.

An appointment cannot be made compliant merely by submitting DIR-12 if a statutory or Articles-based eligibility issue exists.

SECTION 03

DIN, Declarations and Disqualification Review

Confirm that the incoming director has a valid DIN where required and is not disqualified from appointment. Review relevant declarations under section 164 and other applicable company and individual eligibility conditions.

The separate Director KYC service focuses on routine DIN profile compliance. For this page, verify that the DIN is usable for the particular company appointment and matches the identity documents.

SECTION 04

Written Consent: Form DIR-2

A director generally provides written consent to act in Form DIR-2 under the Appointment and Qualification Rules. Capture the proposed role, relevant identity information and supporting declarations before completing the appointment workflow.

Store the signed consent in the company’s statutory records and link it to the correct Board or shareholder approval. Consistency between the date of consent, appointment and DIR-12 matters.

SECTION 05

Appointment Routes and Board Authority

An appointment can arise through shareholder decisions, Articles-authorised Board powers, an additional director appointment under section 161, or other statutory procedures. The correct authority and documentation differ by route.

Check the Articles, vacancies, Board strength and whether shareholders must approve or regularise the appointment. An additional director’s tenure is not always identical to a shareholder-appointed director’s tenure.

A template Board resolution should not be reused without checking the company’s actual Articles and the appointment route.

SECTION 06

Resolutions, Minutes and Effective Dates

Prepare the relevant notice, agenda, minutes and Board or shareholder resolutions. The company should record the appointment or cessation date accurately and update the director register as required.

Document the factual effective date independently of when a portal form is submitted. Related-party, banking and signing-authority records should not be silently changed before the corporate action is valid.

SECTION 07

DIR-12: Event Reporting to ROC

DIR-12 reports particulars of appointment, resignation and certain other director/KMP changes under section 170 and the related rules. For common appointment and resignation events, the company is generally required to file the change within 30 days.

The prescribed supporting attachments depend on the chosen event, such as consent or resignation documentation. Confirm the active MCA V3 instruction kit and correct purpose selection before filing.

SECTION 08

MCA V3 User Role, DSC and Submission

The company should prepare and submit DIR-12 using appropriately authorised MCA portal users and valid digital signatures or professional certifications where required by the current webform.

Validate director names, DINs, company CIN and event dates in the portal preview. Save the SRN and acknowledgement and review the actual filing status rather than relying on a screenshot of a draft.

SECTION 09

Director Resignation Under Section 168

A director may resign by giving notice in writing to the company under section 168. The Board should take note of the resignation and the company should complete the required ROC intimation.

The effective date is determined under the statutory rule and facts of the notice; do not assume the DIR-12 submission date is automatically the cessation date.

SECTION 10

DIR-12 and Director’s DIR-11: Different Roles

DIR-12 is the company-side filing for the director-change event. Section 168 also permits the resigning director to forward a copy of the resignation with prescribed reasons to the Registrar in the prescribed manner.

Whether DIR-11 is filed in a specific case should be assessed using the current legal text and MCA procedure. Avoid stating that a director-side filing automatically replaces the company’s DIR-12 duty.

SECTION 11

Effective Date, Handover and Authority

Confirm the date the resignation or appointment took effect and prepare handover records for company books, DSC authority, banking mandates and contractual signatories.

The incoming or outgoing director’s ability to sign company filings depends on the actual authorised position and portal role. Reconcile the MCA record with Board decisions before granting or removing access.

SECTION 12

Minimum Directors and Continuity Risks

A resignation may cause the company to fall below its minimum number of directors. Review replacement steps and legal consequences promptly in light of the company category and existing Board.

If no eligible director can act, special statutory routes may apply. Identify the issue with professional review before making unauthorised filings or assuming one remaining director has unrestricted powers.

SECTION 13

Removal, Vacation and Resignation Are Not the Same

A company-driven removal under section 169, vacation of office under section 167 and voluntary resignation under section 168 have different legal triggers and procedural safeguards.

MCA’s DIR-12 kit identifies some cessation categories, including removal or vacation, for special processing rather than the standard straight-through path. Verify facts before choosing an event type.

SECTION 14

Maintain the section 170 register and other company records consistently after the event. Reflect authorised changes in Board minutes, registers of interests and documents where required.

Depending on the company’s circumstances, update the bank, GST signatories, vendor systems, contracts, beneficial ownership records and internal delegations as appropriate.

SECTION 15

Review common errors: wrong event purpose, inaccurate effective date, missing consent, wrong director DIN, unsupported Board appointment power or an SRN not followed through to disposition.

Close with a signed appointment/resignation pack, internal register update, MCA acknowledgement and evidence that downstream authorisations reflect the actual Board.
