OPC ANNUAL COMPLIANCE GUIDE
One Person Companies use important simplified corporate procedures but remain companies under the Companies Act, 2013. This guide covers OPC-specific annual compliance and differs from company-wide governance, ROC annual filing for other company classes and director-change services.
A One Person Company is legally distinct from its sole member. Annual compliance therefore includes proper accounts, audit where required, sole-member decisions and prescribed MCA returns even where the owner operates the business alone.
The important filings commonly include AOC-4 for financial statements and MGT-7A for the annual return. OPC procedures also contain specific exemptions from general meeting requirements; using an ordinary private-company calendar without adjustment risks confusion.

Practical note: One shareholder does not mean the company can ignore its separate statutory records.
Confirm that MCA master data and incorporation documents still show an OPC, with the correct corporate identification number, registered office and sole-member details. Review the nominee consent information associated with the OPC.
Nominee changes and other corporate events can require separate prescribed forms; an annual return does not replace those filings. Keep the supporting resolutions, consents and acknowledgments in a secure company records folder.

Practical note: A changed nominee should be assessed as a specific compliance event, not hidden inside annual disclosures.
The Companies Act contains special treatment for One Person Companies: the normal annual general meeting requirement does not apply in the same way as it does to other companies. Decisions otherwise taken at general meetings can be documented through the prescribed sole-member procedure.
Maintain signed and dated member decisions in the minutes book. For annual reporting, evaluate how the prescribed no-AGM statutory filing rules apply, rather than inventing an AGM date and recording a meeting that never occurred.

Section 122
Practical note: Avoid generating fictitious AGM minutes solely to support annual form preparation.
The OPC member should record decisions on matters requiring member approval as permitted under section 122. Each relevant resolution should reflect the matter approved and be entered, signed and dated according to the statutory procedure.
Annual account adoption, auditor matters and other reserved decisions should be mapped to the correct legal approval. Keep the written resolution with the financial statements and form submission acknowledgment to create a verifiable chain of authority.

Practical note: A typed internal note does not necessarily satisfy the formal resolution-recording rules.
Section 173 provides relaxed Board-meeting rules for OPCs and other specified company categories. The special requirements depend in part on whether the OPC has only one director or more than one.
Maintain records of actual Board decisions and director attendance where meetings are required. When a sole director is authorised to decide matters, document those decisions using the legally permitted procedure instead of applying a multi-director template by default.

Practical note: One-person shareholding and one-person directorship are not necessarily the same fact.
An OPC should keep proper books of account and related records under the relevant company-law framework. Reconcile bank statements, invoices, fixed assets, receivables, liabilities and owner-related transactions with the general ledger.
Even where turnover is nil, expenses, liabilities or bank movements may exist. Maintain an evidence file that enables the financial statements to be prepared and reviewed without treating the member’s personal funds as automatically interchangeable with company funds.

Year-end balances
Practical note: A one-owner company still requires separation between company property and personal transactions.
An OPC is incorporated as a company, and the applicable Companies Act statutory-audit and financial-statement rules must be examined. The reporting framework and audit documentation should reflect its classification and actual transactions.
Prepare the balance sheet, statement of profit and loss, applicable notes, audit materials and Board or member approvals as required. Do not assume that a small amount of turnover automatically removes all company audit requirements.

Practical note: The special position of an OPC does not create a blanket exemption from company audit obligations.
AOC-4 is used for the prescribed filing of company financial statements and related documents with the Registrar. The third proviso to section 137(1) addresses the OPC filing framework, linked to adoption of its financial statements and the financial-year end.
Validate the correct financial year, statements, report content, signing and applicable attachments from the latest MCA V3 instruction kit. OPCs have a special statutory filing window, but any active extension or updated form rule should be checked before submission.

Practical note: Do not apply an ordinary company’s AGM-linked AOC-4 trigger to an OPC without checking its special rule.
The Companies (Management and Administration) Rules prescribe MGT-7A for an OPC instead of the standard MGT-7. It captures the required annual-return particulars in the simplified format intended for eligible company categories.
Reconcile the sole member, share capital, director information and other requested fields with statutory records and MCA master data. Verify the applicable form version and the annual-return filing provisions for the financial year.

CIN and capital
Practical note: Never choose MGT-7 merely because the OPC’s turnover or records look similar to a private company.
Review the OPC’s active directors, DIN information and registered contact details. Director KYC follows its own prescribed cycle and change-reporting requirements, which should be checked against the currently operative MCA rules.
If appointment, resignation or change in particulars has occurred, identify the correct independent reporting before relying on annual-return data. The approved Director KYC and Director Appointment & Resignation service pages will address those workflows in detail.

Practical note: Do not assume DIN KYC is automatically due every year; verify the current notified cycle.
Maintain evidence of the single member’s shareholding and the OPC nominee arrangements. Ensure the statutory register is consistent with any changes in membership or nominee status and the relevant consent documents.
A change of member due to specified events can have implications beyond an ordinary update to the share register. Escalate such situations for case-specific legal assessment rather than treating all ownership changes as routine annual-return entries.

Practical note: OPC nominee provisions are distinct from appointing a second shareholder.
Other returns such as DPT-3, MSME-1 or auditor-related filings may apply only when the facts and relevant rules trigger them. OPC status alone does not mean every conditional return is automatically required or universally exempt.
Review deposits or specified receipts, MSME trade-credit status and appointment-related events against current thresholds and conditions. These separate event or category-specific services should not be confused with the two core annual forms on this page.

Practical note: Do not copy an ordinary private company’s entire event-based form checklist onto an OPC.
A company that has not started business may still have annual MCA requirements and financial statements reflecting incorporation costs or bank entries. Assess active, dormant or struck-off status before considering any relief or closure procedure.
For a recently incorporated OPC, verify the first financial year and relevant statutory position carefully. Keep incorporation, bank opening, share subscription and subsequent evidence separate from personal records of the member.

Before filing, confirm the correct MCA V3 access, authorised director or professional signatory, DSC validity and completeness of supporting records. Review the preview of AOC-4 and MGT-7A against adopted financial statements and member records.
Save the filed copies, acknowledgments, SRNs, member resolutions and source schedules in an indexed folder. If a form is marked for resubmission, document what changed and preserve the filing version history.

Use a checklist tailored to the OPC: status and nominee records, company books, audit material, sole-member resolutions, financial-statement adoption, AOC-4, MGT-7A and condition-based disclosure review.
The deliverable is a consistent documentation pack, not a generic certificate claiming every obligation is satisfied. Record unresolved items, what was checked, the statutory basis and the person accountable for action.

Gap review
Practical note: A good annual review considers the legal form of each decision, not only whether an MCA receipt exists.
The Companies Act grants OPC-specific relief from holding an AGM. The sole-member decision procedure under section 122 must still be followed where applicable.
The prescribed simplified annual return is MGT-7A, subject to current MCA forms and filing-year rules.
Yes, the Companies Act provides an OPC-specific framework for filing adopted financial statements with the Registrar.
MGT-7A is the prescribed annual-return form for OPCs. Check the current portal rules rather than selecting another form by similarity.
A sole-director OPC has specific statutory relief, while an OPC with more directors may face different meeting requirements.
Company audit requirements generally still apply. Determine any special facts or exemptions with a qualified professional.
Relevant matters may be approved through properly recorded member decisions under section 122 instead of a conventional AGM.
The nominee provisions address succession to membership in specified circumstances. Keep required consent and any change documentation on record.
No. They are conditional and depend on the company’s receipts, obligations and the applicable rules.
No turnover does not automatically cancel annual company-law reporting; inspect the OPC status and books.
Director KYC is a separate legal obligation with its own current schedule and change-based rules.
We can assist with AOC-4 and MGT-7A filing readiness, accounts coordination, member records and MCA document review without replacing statutory signatories.
For OPC annual reporting, consult the Companies Act special provisions, MGT-7A form notification and the MCA financial-statement filing guidance. Confirm category-specific rules and current statutory changes.
This guide is an educational overview; the Companies Act, notified amendments and current MCA V3 instructions control the actual OPC requirements and return due dates.
