2026 MCA DIRECTOR KYC · PRACTICAL GUIDE

Director KYC: DIR-3 KYC Web, DIN Updates & Verification

This guide explains director KYC after the rules changed effective 31 March 2026. It distinguishes routine three-year intimation, event-based personal detail changes, authentication and DIN reactivation.

SECTION 01

Director KYC: Purpose and Legal Scope

Director KYC is an identity and contact-information intimation linked to a Director Identification Number (DIN). It is not the same as incorporating a company, changing a directorship or filing a company annual return.

Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014 governs the periodic process. The current webform and rule position should be checked against MCA notifications before action.

Practical distinction: a director may have no current annual KYC filing requirement even though a personal detail change needs a prompt update.

SECTION 02

Who Must Check KYC Applicability

People holding a DIN as on 31 March of a relevant financial year should evaluate their compliance position under the revised three-consecutive-financial-year framework. Existing KYC history affects when the next routine intimation becomes relevant.

A person who has resigned from a company may still retain a DIN. DIN KYC is assessed at the individual DIN-holder level, not simply from the person’s current designation in a specific company.

SECTION 03

2026 Amendment: Annual to Three-Year KYC

MCA notified G.S.R. 943(E) on 31 December 2025, effective 31 March 2026. It replaced the previous annual DIN KYC requirement with a simplified DIR-3 KYC Web intimation once every three consecutive financial years.

The amended process also supports updates to personal mobile number, email address, residential address and DIN reactivation. Old guidance describing 30 September every year should not be applied as a current blanket rule.

SECTION 04

Existing Compliant Directors and June 2028

MCA clarified that directors who had already completed their KYC under the earlier system are covered by the transition. Its January 2026 release states that their next periodic KYC filing would be due by 30 June 2028.

For directors with incomplete or unusual filing history, verify MCA records and the latest portal position individually; the transitional example is not a substitute for checking an inactive DIN or a recent personal detail change.

Check event-driven changes independently; the 2028 transition does not defer a required mobile, email or address update.

SECTION 05

Information to Verify Before Filing

Match the DIN, legal name, date of birth and identity information against company and government records. Review the registered personal contact data and residential address for accuracy.

Keep supporting evidence ready where a change is involved. An ordinary periodic intimation is different from a correction of an inaccurate underlying DIN profile or proof of identity.

SECTION 06

Mobile and Email Updates

Under amended Rule 12A, a DIN holder who changes their personal mobile number or email address must submit the prescribed DIR-3 KYC Web update within 30 days of that change.

Contact details should be personally accessible to the director because MCA verification and future communications can depend on them. A company administrator’s shared contact should not be substituted without authority.

SECTION 07

Residential Address Changes

A change in the DIN holder’s residential address is also within the amended event-based DIR-3 KYC Web requirement. The director should align address details and evidence with the current MCA fields.

A personal address update is distinct from changing a company’s registered office. The latter has a separate approved service and separate Companies Act filings.

SECTION 08

Authentication, DSC and Professional Certification

MCA’s 2026 clarification states that digital signatures of the DIN holder and professional certification are required for KYC submissions involving updates to mobile number, email address or residential address.

The exact portal authentication flow for an ordinary periodic KYC intimation should be followed as currently displayed, rather than assuming all submissions need the previous e-form signature setup.

SECTION 09

Use the official MCA portal and the correct DIN-linked user or authorised filing route. Confirm that the selected service is DIR-3 KYC Web under current rules rather than an older saved DIR-3 KYC PDF.

Verify details on the displayed webform, handle any system alerts using official support channels and retain evidence of the acknowledgement after submission.

SECTION 10

Inactive or Deactivated DIN: Next Steps

A deactivated DIN should be assessed by checking its recorded MCA status and reason. The revised webform has an express reactivation function, but the available path depends on the director’s history and portal validation.

Do not create a duplicate DIN or use another person’s identity to bypass a deactivation. Resolve the underlying profile or compliance problem and follow the official reactivation route.

SECTION 11

Multiple Directorships and One DIN

A DIN belongs to an individual, not to each company separately. A person who serves on multiple Boards generally has one identity record to maintain while each company separately files its event-based director information.

Keep DIN profile data consistent with the director particulars shown in relevant company master data. Conflicting identity details can slow internal compliance review.

SECTION 12

DIR-3 KYC Web and Other DIN Forms

Distinguish the KYC/intimation service from other DIN-related filings, such as a change of particulars requiring a different prescribed route or appointment-linked compliance. The revised KYC Web specifically covers identified personal-contact and residence updates.

A wrong form selection can create inconsistent data or an unsuccessful filing. Identify the exact fact that changed before choosing a service.

SECTION 13

Foreign-Resident Directors and Contact Verification

An overseas-resident director may need to reconcile foreign phone connectivity, address evidence and portal authentication requirements while maintaining a valid DIN record.

MCA has previously acknowledged OTP difficulties for some foreign directors and introduced support mechanisms. Check live portal guidance for the current authentication channel and raise official helpdesk tickets when needed.

SECTION 14

KYC Acknowledgement and Internal Records

Retain the acknowledgement, relevant SRN if generated, version of submitted contact details and evidence of any correction. Company secretarial teams should record when a DIN was checked and what remained pending.

Sensitive contact or identity evidence should be retained under appropriate access controls. A compliance register helps avoid relying on verbal assurances that an update has already been completed.

SECTION 15

Director KYC Mistakes to Avoid

Common mistakes include treating the old annual due date as current, waiting three years after a personal-contact change, using an inactive DIN without checking the reason, and mixing company-office filings with personal address updates.

Another frequent error is sharing OTPs or DSC credentials with a third party. Begin with the current rule, the director’s actual DIN history and the exact event requiring action.

SECTION 16

Director KYC — FAQs

No. Effective 31 March 2026, MCA introduced a once-in-three-years DIR-3 KYC Web intimation framework under amended Rule 12A.

MCA stated that directors whose KYC had already been completed under the earlier framework have their next periodic KYC due by 30 June 2028. Check individual status and later notifications.

A change in personal mobile number must be intimated through the prescribed DIR-3 KYC Web process within 30 days under the amended rule.

Yes. The amended rules require an update within 30 days after a change in personal email address.

The revised DIR-3 KYC Web process covers the personal residential-address update, subject to MCA data and evidence requirements.

MCA says these signatures/certifications are required for submissions involving mobile, email or residential-address updates. Follow the current portal route for routine intimation.

No. Director cessation and a DIN identity record are separate matters. Company DIR-12 records the directorship event.

A DIN identifies the individual and is generally not a new number for each Board position.

Check the deactivation reason on the MCA portal and use the applicable DIN reactivation route; do not apply for another DIN as a workaround.

No. A company registered-office change is a separate statutory filing, commonly involving INC-22 and sometimes additional approvals.

DIN holders should evaluate the applicable KYC requirements regardless of residence; authentication issues should be handled through official MCA support.

Share the broad issue and DIN status description, not passwords, OTPs, DSC PINs or original identity records.

SECTION 17
