YOUR GUIDE TO NON-PROFIT INCORPORATION
Understand eligible objects, name approval, constitutional documents, SPICe+ filing, governance, charitable tax-registration pathways and reporting obligations. The guidance below is original, educational and designed for founders and promoters.
A Section 8 company is incorporated under the Companies Act, 2013 to pursue specified non-profit objects. These include education, research, science, art, social welfare, charity, environmental protection, sports and other permitted public-benefit objectives.
The organisation has a separate legal identity and its income or surplus must be applied towards promoting its stated objects. A Section 8 company is prohibited from distributing dividends to members.
Section 8 registration is a company-law status. It does not, by itself, confer income-tax exemption, donor tax benefits, CSR eligibility or permission to receive foreign contributions.
Online Tax Filings helps founders and promoters organise an incorporation plan around the organisation’s mission, governing documents, registered-office evidence and MCA filings. Our focus is a clear documentation checklist and an informed discussion of compliance responsibilities.
Translate the proposed public-benefit activities into a coherent, lawful objects description.
Review proposed names, member/director particulars and registered-office supporting records.
Coordinate the incorporation workflow and relevant linked forms as applicable.
Discuss governance, accounting, charitable tax registration and future reporting obligations.
An application is subject to official review and approval by the Ministry of Corporate Affairs / Registrar of Companies.
The organisation’s objects must fit Section 8. Its constitutional documents should clearly connect intended programmes and use of funds to those objects.
Learning initiatives, educational access and training activities with a public-benefit purpose.
Community development, assistance and other lawful charitable programmes.
Environmental protection, scientific research and permitted public-interest projects.
Promotion of cultural, artistic, scientific and sporting objectives that meet the law.
Activities outside the adopted objects or inconsistent with the non-profit character require careful legal review. A charitable description alone does not establish eligibility.
Persons or associations of persons with eligible objects may apply for incorporation. The proposed company must satisfy the applicable Companies Act requirements concerning its members, directors, registered office, declarations and constitutional documents.
Member and director composition depends on the proposed company structure and applicable legal rules. Director identification, consent, disqualification checks and residency requirements should be reviewed rather than assumed.
Before filing, confirm the proposed governance model, subscribers and directors against the current MCA rules and the selected incorporation type.
A proposed name should be distinctive, consistent with charitable objects and compliant with MCA naming rules. Names often use terms such as Foundation, Forum, Association, Federation, Council or similar expressions specified in official guidance.
A Section 8 company is generally licensed to omit “Limited” or “Private Limited” from its registered name, subject to the statutory conditions.
Document requirements vary by application facts and current MCA web-form validations. The list below is a planning checklist, not an exhaustive statutory declaration.
Identity and address evidence, PAN / passport particulars where applicable, consent and valid digital signatures.
Address details, occupancy evidence, owner’s NOC where applicable and recent utility evidence.
Draft Memorandum and Articles, subscriber details and proposed management structure.
Applicable professional and subscriber declarations, and other attachments requested in the live MCA workflow.
The MCA’s Section 8 incorporation FAQs and INC-13 instruction kit should be consulted for the filing format that applies to your applicant profile.
A fresh Section 8 company is incorporated through the MCA’s integrated SPICe+ process with appropriate linked filings. The current web-form sequence and documentary requirements must be followed on the MCA portal.
Review mission, proposed activities and Section 8 eligibility.
Finalise proposed name, subscribers, directors and registered office details.
Prepare Section 8-appropriate MOA and AOA, plus required declarations.
Complete SPICe+ and applicable linked forms, resolve validations and official queries.
Check approved company particulars, licence conditions and next compliance actions.
The Section 8 licence for a new company is handled through the applicable SPICe+ process; do not assume a separate INC-12 licence filing is mandatory for new incorporation.
The Memorandum of Association (MOA) records permitted objectives and the company’s constitutional framework. The Articles of Association (AOA) describe internal governance, membership and decision-making rules.
MCA provides the Section 8 INC-13 e-MOA route in applicable cases, and the relevant articles / linked form depends on filing facts and current portal instructions. Provisions concerning use of income and restriction on dividends must be reflected appropriately.
Changes to the MOA/AOA or conversion out of Section 8 status may require additional approvals; they should not be treated as ordinary informal amendments.
Each non-profit structure has a different governing law, registration route and operational framework. The choice should reflect the mission, governance requirements, planned programmes and funding arrangements.
Company-law framework, directors and members, ROC filings and statutory governance.
Trust deed and trustee-led management, subject to applicable trust law and local registration rules.
Member-driven association structure, subject to the relevant society law and registration regime.
Governance accountability, documentation, grant conditions, tax status and long-term mission fit.
Tax registration, donor-deduction approval and FCRA obligations remain separate assessments for each structure.
Section 8 companies are run through a company-governance framework. Directors owe statutory duties, while members have rights as provided by applicable law and the constitutional documents.
A non-profit label does not remove statutory duties applicable under company law.
A Section 8 company may receive funds and earn income through legally permissible activities, subject to its objects and applicable tax, grant and sector-specific rules. Its income or surplus must be applied to advancing its Section 8 objectives, not paid as dividends to members.
Maintain clear books, purpose-based expenditure records, supporting invoices, donation documentation and internal approval records. Restrictions in individual grants or government schemes may impose additional conditions.
Organisations should review remuneration, reimbursements and related-party payments for commercial substance, governance compliance and the applicable restrictions.
Section 8 incorporation and income-tax registration are separate. From 1 April 2026, the Income-tax Act, 2025 provides for non-profit organisation registration under section 332 and qualifying donor-deduction approval under section 354, subject to eligibility and prescribed procedures.
Many online guides still mention 12AB and 80G from the Income-tax Act, 1961. When planning a new application, use the currently applicable Income Tax Department forms and rules rather than assuming older form numbers still apply.
Neither tax exemption nor a donor’s deduction is automatic on receipt of the Section 8 company’s Certificate of Incorporation.
A Section 8 company may explore eligible grants and corporate social responsibility (CSR) projects, but donor, implementing-agency and statutory conditions need a separate review. Section 8 registration does not alone guarantee CSR-project eligibility.
Receiving foreign contributions may trigger the Foreign Contribution (Regulation) Act (FCRA). Organisations must obtain the registration or prior permission that applies before accepting covered foreign funds, and must meet account, reporting and use restrictions.
Do not advertise “FCRA approved”, “CSR eligible” or “80G approved” unless the organisation actually has the relevant valid status and the claim is current.
A registered Section 8 company continues to have record-keeping, financial statement, governance and applicable ROC filing responsibilities. The required forms and events depend on the company’s structure, operations and legal status.
Maintain accounting records and supporting evidence for receipts, programmes and expenditure.
Document board/member meetings, resolutions, approvals and statutory registers.
Determine applicable returns, audit obligations, reporting and registration renewals.
Track grant conditions, FCRA obligations and sector-specific licenses where relevant.
Compliance planning should begin when the mission and governance structure are designed, not only after incorporation.
Many incorporation and post-incorporation issues arise from inconsistent objects, unsupported documents or incorrect assumptions about funding permissions.
Objects should be lawful, appropriately specific and aligned with intended public-benefit programmes.
Confirm subscriber/director details and registered-office documents before submission.
Review charitable tax registration and donor-approval applications separately.
Plan governance, accounting, returns and funding controls from the beginning.
MCA approvals, income-tax approvals and FCRA permissions are distinct decisions by different authorities.
It is a company formed under Section 8 of the Companies Act, 2013 for permitted non-profit objectives. Its profits or other income must support its objects, and dividends to members are prohibited.
It may generate surplus through permissible activities, but it must apply income towards its objectives and cannot distribute dividends to members.
A licensed Section 8 company may be registered without “Limited” or “Private Limited” in its name, subject to statutory requirements and name approval.
