Registered Office Address Change: INC-22 and Other Approvals

This guide explains location-based company registered-office changes under sections 12 and 13 of the Companies Act, 2013. It distinguishes ordinary INC-22 changes from shifts needing INC-23 and order filing.

SECTION 01

Registered Office: Why the Address Matters

A company’s registered office is the statutory address used for official communications and company records. It is not always the location where everyday operations, workshops or branches are conducted.

Section 12 of the Companies Act, 2013 governs the registered office and intimation to the Registrar. The correct filing depends on where the company moves, not simply whether the new premises belong to the same owner.

A new trading address or GST place of business does not automatically change the company’s registered office.

SECTION 02

Four Common Registered Office Shift Routes

Classify whether the move stays within the local limits of the same city, town or village; goes outside those limits while remaining in the same ROC jurisdiction; moves between ROCs within one state; or crosses a state or Union Territory boundary.

Different combinations can trigger member resolutions, Regional Director approvals, alteration of the memorandum or order-based filings. Verify the company’s actual ROC mapping before selecting the e-form route.

Route 4

Two nearby addresses can fall in different jurisdictions: a location-based classification is essential.

SECTION 03

Shift Within the Same City, Town or Village

A change within the same local limits generally follows the simpler corporate-approval and registered-office intimation route, subject to the company’s Articles and current Companies Act rules.

The new premises must still meet registered-office requirements and be supported by proper title, lease or use-consent evidence. Prepare the company’s authorising record and file the relevant INC-22 notification.

SECTION 04

Outside Local Limits but Same ROC

Where a company moves beyond the local limits of its city, town or village but stays within the same ROC jurisdiction, the statutory route generally involves member approval by special resolution under section 12(5).

Check related MGT-14 applicability for the special resolution and submit the registered-office change particulars in INC-22. Ensure all corporate approvals use the exact proposed address.

SECTION 05

Different ROC Jurisdiction Within One State

A transfer between the jurisdictions of two Registrars in the same state may require Regional Director confirmation under the relevant Companies (Incorporation) Rules and application through INC-23.

Related order filing and address intimation must be coordinated, potentially involving INC-28 and INC-22. Confirm the applicable territorial jurisdictions, notifications and current portal requirements before beginning.

SECTION 06

Inter-State Registered Office Transfer

Changing the registered office from one state or Union Territory to another generally involves alteration of the memorandum and approval under section 13, alongside the company’s prescribed resolutions and Regional Director/Central Government process.

INC-23 is the application route described in MCA instructions, with supporting notices and creditor information where required. Order registration and the subsequent address-change filing must be sequenced according to the applicable rules.

SECTION 07

Board, Members and MGT-14 Records

Prepare the appropriate Board and, where required, shareholder notices, explanatory statement, resolutions and minutes. The level of approval depends on the route, particularly a shift outside local limits or a memorandum amendment.

Where a special resolution is passed, determine its MGT-14 filing requirement under applicable provisions. Dates and exact address language should align across minutes, resolutions, MCA forms and property documents.

SECTION 08

Ownership, Lease and Use-Rights Documents

MCA INC-22 instructions contemplate documentary evidence that the company can lawfully use the proposed registered-office premises, such as a title document in the company’s name or lease/rent agreement.

The appropriate supporting set depends on whether the company owns or rents the location or uses premises with an owner’s authorisation. Check details of property owner, address, company name and execution.

A generic declaration without sufficient evidence of the right to use the premises can create validation problems.

SECTION 09

Owner NOC, Utility Bill and Location Proof

Where the company is not the registered owner of the premises, a proper no-objection or authorisation from the owner may be required under the prescribed documentary route. Utility evidence should match the proposed address and meet current MCA recency requirements.

Cross-check building name, floor, door number, street, PIN, district and state across the property record, proof of utility service and e-form. Resolve spelling or address mismatches before filing.

Proof requirements are form-specific; do not assume a bank statement or marketing brochure can replace the prescribed documents.

SECTION 10

INC-22: Verification and Address Intimation

INC-22 is the core notice of situation or change of registered office filed with the Registrar under section 12 and the Incorporation Rules. The company must provide the exact address, legal use evidence and applicable attachments.

Section 12(4) generally requires notifying the Registrar within 15 days of a post-incorporation registered-office change. Where additional approvals are necessary, verify the correct statutory sequence instead of prematurely filing a final address.

SECTION 11

INC-23: Regional Director Approval

INC-23 supports prescribed applications for moving between ROC jurisdictions within a state or changing the state of the registered office. It is not required for every local office shift.

MCA’s instruction kit details route-specific statements, Board authority, advertisements, creditor/debenture-holder records and other support. A compliance review should confirm which attachments are mandatory for the chosen route.

SECTION 12

INC-28 and Registration of Approval Orders

Where a Regional Director or other competent authority order is issued for the shift, prescribed order-registration steps may involve INC-28. The legal effect of the shift depends on the type of transfer and applicable order conditions.

Coordinate the order details with INC-22 and any changed corporate identity or ROC jurisdiction records. Do not mark the change complete based solely on receipt of an approval letter.

SECTION 13

Creditor Notices and Regulatory Safeguards

Complex shifts can require newspaper publication, service of notice to creditors or debenture holders, supporting statements and assurances to protect affected interests. Such requirements depend on the applicable INC-23 route.

Pending investigations, prosecutions or particular regulated-sector obligations can affect the proposed transfer. Review the company’s facts before presenting the move as a routine address edit.

SECTION 14

ROC Geography: District and State Mapping

Indian ROC territorial jurisdictions can be revised by MCA notifications. Check the current mapped ROC for the old and new office districts, particularly in states where multiple Registrar offices serve different areas.

A 2026 MCA portal notice described new ROC location mappings effective 16 February 2026. The company should rely on the live mapping and CIN jurisdiction rather than an older internet checklist.

Tamil Nadu companies should be especially careful about district-wise jurisdiction where the old or new premises lie near an ROC boundary.

SECTION 15

After the Address Change: Records and Communication

After the statutory change, update the company’s letters, website and statutory disclosures as required. Reconcile company records, registered-office display, banks, tax registrations, contracts and professional communications.

Keep the approval pack, property documents, MCA acknowledgement, updated master data and internal resolution record together. A consistent post-shift record reduces missed notices and mismatched official correspondence.

SECTION 16

Registered Office Address Change — FAQs

INC-22 is the principal registered-office intimation form; more complex jurisdiction transfers may require additional approvals and filings.

No. The required approval depends on whether the move crosses local limits, ROC jurisdiction or state boundaries.

A routine move within the same local limits generally does not use the Regional Director INC-23 route; check the actual territory and rules.

A special resolution and applicable ROC filings may be required under section 12(5), with MGT-14 applicability reviewed.

INC-23 applies to prescribed Regional Director approval routes, including transfer between ROC jurisdictions within a state or from one state to another.

It is the prescribed order-filing route in applicable approval-based cases and is coordinated with subsequent company records and INC-22.

A company title record, lease/rental document, owner authorisation and current utility evidence may be relevant according to the premises arrangement.

It depends on whether the company owns the premises or relies on another owner’s consent; follow current form instructions.

Section 12(4) generally provides a 15-day statutory notice requirement for a post-incorporation registered-office change, subject to route-specific procedures.

Yes. District and territorial jurisdiction matter; some transfers require Regional Director approval.

No. GST and other registrations have separate amendment requirements where the change affects their records.

A final MCA submission requires precise premises details and prescribed evidence; confirm the site before executing filings.
