MCA NAME CHANGE · ORIGINAL COMPANY GUIDE

Company Name Change: RUN, Special Resolution & INC-24

An existing company can consider a name change under section 13 of the Companies Act, 2013. This guide focuses on eligible names, governance steps, MCA filing sequence and post-approval consistency rather than fresh incorporation.

SECTION 01

Company Name Change: Meaning and Scope

Changing an existing company’s registered name is a statutory alteration of its memorandum, not the creation of a new corporate entity. The company generally continues with its rights, obligations and corporate history after the change.

The proposed name must pass applicable Companies Act restrictions and MCA name-availability standards. Corporate branding preferences do not override statutory approvals.

Differentiate legal name change from trademark registration or the launch of a separate subsidiary.

SECTION 02

When a Business Considers Renaming

A company may seek a new name after a business repositioning, consolidation of offerings, investor-led rebrand or correction of confusing terminology. The rationale should be truthful and supported by corporate records.

A name change does not by itself amend the company’s business objects, share capital, promoters or registered office. Those events are subject to their own statutory routes.

SECTION 03

Eligibility and MCA Status Review

Review active CIN, company master data, compliance flags and any pending filings before initiating the name-change process. MCA INC-24 instructions identify certain filing-status flags as key checks.

A company with an unresolved name-change request, incompatible order or compliance restriction may need to resolve the underlying issue before the proposed alteration can proceed.

SECTION 04

Proposed Name Availability and Distinctiveness

Screen the intended name against existing company/LLP records, restricted expressions and resemblance criteria. Similar spelling, phonetics or misleading connections can create objections even when the exact phrase is absent.

A domain name or social handle being available does not mean MCA approval is assured. Relevant trademark searches are a separate diligence input, not a substitute for name reservation.

SECTION 05

RUN Service for Existing-Company Name Reservation

The MCA RUN service is used for reservation of a proposed name in the prescribed existing-company change route. Identify the correct existing-company option and apply the company’s present CIN details.

MCA’s INC-24 instruction kit expects a valid, approved RUN SRN linked to the company. Reservation expiry and resubmission conditions should be checked on the live portal.

SECTION 06

Board Review and Member Consent

The Board should assess the reason, proposed words, applicable restrictions and necessary member approval. Prepare notices and explanatory documents proportionate to the company’s constitution.

Section 13 generally requires a special resolution for the company-name alteration. The resolution record must reflect the proposed change accurately, including any linked constitutional alteration.

The Board discussion and member approval are separate governance records even when a small ownership group controls the company.

SECTION 07

MGT-14: Filing the Special Resolution

MGT-14 records specified resolutions and agreements with the Registrar. The change-of-name workflow normally needs the relevant approved MGT-14 SRN before filing INC-24.

Prepare the special resolution, explanatory statement and altered memorandum/articles where applicable. The form’s electronic attachments and validations depend on the purpose selected.

SECTION 08

INC-24: Central Government / ROC Approval

INC-24 is the MCA webform used by an existing company to request approval of a name change under the applicable statutory route. It depends on approved RUN and MGT-14 details.

The instruction kit asks for the company’s current details, proposed name, reason for change, member voting details and supporting documents. Signatories and digital signatures must satisfy MCA requirements.

A successfully uploaded INC-24 is an application stage, not proof that the company name has been changed.

SECTION 09

Altered MOA, AOA and Documentary Consistency

The name clause in the memorandum must correspond to the proposed approved name. The articles may also need related edits if they refer to the old legal name.

Check that the proposed name, resolution text, altered constitutional documents and filing fields are consistent in punctuation and suffix. Inconsistent attachments can attract MCA queries.

Changes to business objects or other clauses are separate decisions and should not be inserted without board/member instructions.

SECTION 10

ROC Queries, Objections and Resubmissions

MCA may raise questions about similarity, name restrictions, missing attachments, voting details or compliance flags. A response should address the identified defect with evidence rather than resubmit unchanged language.

Track the application SRN and notifications through the MCA portal. Verify the current resubmission window shown for that application because portal deadlines are legal workflow conditions.

History

A proposed alternative name may require a fresh reservation decision; do not assume every rejection is solved by editing INC-24 alone.

SECTION 11

Fresh Certificate and Effective Name Change

A change of name under section 13 becomes effective when the Registrar issues the prescribed fresh certificate incorporating the new name. Updating a website before this stage does not change the statutory name.

Check the fresh certificate, CIN and master-data display after approval. The company continues as the same legal person, subject to the company-law effect of the alteration.

SECTION 12

Updating Tax, Bank and Regulatory Records

After the effective change, review how the new name must be reflected in PAN, GST, bank KYC, labour registrations, professional certificates and other authority records. Each system may have separate amendment rules.

A change in MCA master data does not automatically update every tax, licence or financial institution database. Prioritise records used for invoicing, receipts and statutory correspondence.

SECTION 13

Contracts, Signage and Customer Communication

Prepare an accurate old-to-new-name communication for customers, vendors, lenders, staff and relevant counterparties. Determine whether particular contracts call for notice, endorsement or updated signatories.

Update letterheads, invoices, statutory disclosures, email signatures and registered-office displays as required. Communications should not imply a business transfer merely because the legal name changes.

SECTION 14

Name Change versus Trademark or Brand Protection

MCA name approval concerns the company’s legal identity. A trademark protects specified marks under a different legal framework, while a domain or logo is another separate asset.

Searches may reveal confusing market uses despite a favourable company-name reservation. Where rights conflicts arise, consider separate trademark advice under the approved Trademark service category.

SECTION 15

Common Errors in Existing-Company Name Changes

Frequent issues include starting with an unavailable name, overlooking compliance restrictions, using inconsistent resolutions, missing the RUN/MGT-14 sequence or presenting INC-24 submission as completion.

A useful pre-filing review compares the company’s present master data, proposed name, internal approvals, attachments and downstream update plan in one evidence file.
